Welcome to Seedly.Video ("Seedly.Video," "we," "our," or "us"). These Terms of Service (the "Terms") govern your access to and use of our website, AI video generation tools, account features, subscription plans, credit packs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, please do not use the Service.

1. About Seedly.Video

Seedly.Video provides AI-powered creative tools that help users generate, edit, and manage video content from text prompts, uploaded images, videos, and other reference materials.

The Service may include features such as:

• Text to Video: Generate videos from written prompts or creative instructions
• Image to Video: Transform uploaded images into AI-generated motion videos
• Video to Video: Create variations, transformations, or stylized outputs based on video input where available
• Creative Workflow Tools: Manage generation settings, preview results, download outputs, and access account-based usage history where supported

Output quality, generation time, available models, supported formats, video duration, resolution, audio availability, and other features may vary depending on your prompt, uploaded materials, selected model, plan, system load, third-party provider availability, and technical limitations.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using Seedly.Video, you confirm that you meet this requirement and that you have the legal authority to accept these Terms.

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account information up to date.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Promptly notifying us if you suspect unauthorized access or any security issue

We may suspend or terminate accounts that violate these Terms, abuse the Service, create legal or security risks, or interfere with other users' access to the Service.

3. Use of the Service

You agree to use Seedly.Video only for lawful, safe, and rights-respecting purposes. You are solely responsible for your prompts, uploaded materials, generated outputs, and how you use, publish, distribute, or monetize any generated content.

You agree not to use the Service to:

• Violate any applicable law, regulation, contractual obligation, or third-party right
• Upload or generate content that infringes copyright, trademark, privacy, publicity, personality, or other rights
• Create, request, or distribute illegal, harmful, abusive, hateful, harassing, defamatory, deceptive, exploitative, or otherwise unsafe content
• Generate sexual content involving minors, child sexual abuse material, or any content that exploits or harms children
• Generate content that promotes terrorism, violent extremism, self-harm, criminal activity, or real-world violence
• Impersonate another person or misrepresent affiliation, endorsement, sponsorship, or identity
• Upload private, sensitive, or confidential materials without the necessary rights and permissions
• Attempt to bypass moderation systems, safety filters, rate limits, access controls, payment controls, or security measures
• Reverse engineer, scrape, overload, disrupt, or interfere with the Service or its infrastructure
• Resell, sublicense, or provide access to the Service in a way that violates these Terms or our written instructions

We may block, filter, remove, restrict, or refuse to process content or requests that we believe may violate these Terms, our policies, applicable law, or third-party provider requirements.

4. User Content and Input Materials

"User Content" means any prompts, text, images, videos, audio, logos, names, likenesses, files, or other materials that you upload, submit, or otherwise provide to the Service.

You retain any rights you have in your User Content. By submitting User Content to Seedly.Video, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use your User Content only as reasonably necessary to provide, maintain, secure, troubleshoot, and improve the Service, comply with law, enforce these Terms, and prevent abuse.

You represent and warrant that:

• You own or have obtained all necessary rights, licenses, consents, and permissions for the User Content you submit
• Your User Content and your use of generated outputs will not violate any law or third-party right
• You have permission to use any person, face, voice, likeness, brand asset, copyrighted work, or private material included in your uploads or prompts

You are responsible for reviewing generated outputs before using them publicly or commercially.

5. Generated Content and Ownership

Subject to these Terms, your selected plan, applicable law, and any third-party model or provider restrictions, we do not claim ownership of the videos or other creative outputs generated for you through the Service.

You may use generated outputs for personal or commercial purposes if your plan allows such use and if your use complies with these Terms, applicable law, and third-party rights.

Because AI-generated content may be similar or identical to content generated for other users, we do not guarantee that any generated output is unique, exclusive, copyrightable, trademark-cleared, legally safe for commercial use, or free from third-party claims. You are solely responsible for conducting any review, clearance, or legal assessment needed before publishing or using generated content.

6. AI-Generated Content Disclaimer

Seedly.Video uses artificial intelligence and may rely on third-party AI models, infrastructure, or service providers. AI-generated outputs are probabilistic and may be inaccurate, unexpected, incomplete, offensive, biased, low quality, or unsuitable for your intended use.

We do not guarantee:

• That any output will match your prompt or expectations
• That generated content will be accurate, realistic, complete, or error-free
• That generated content will be suitable for advertising, commercial publication, professional use, legal use, medical use, financial use, or any other specific purpose
• That generated content will not resemble existing people, places, brands, works, or other protected material

You are responsible for evaluating and editing outputs before relying on, publishing, distributing, or monetizing them.

7. Third-Party Models, Providers, and Brand Names

Seedly.Video may provide access to AI models, APIs, infrastructure, payment processors, authentication providers, analytics providers, storage providers, or other third-party services. Your use of certain features may be subject to additional terms, restrictions, availability limits, or safety rules imposed by those third parties.

References to third-party model names, product names, company names, trademarks, or technologies are for descriptive and compatibility purposes only. Unless expressly stated otherwise, Seedly.Video is not affiliated with, endorsed by, sponsored by, or officially connected to any third-party model provider, technology company, trademark owner, or platform mentioned on the Service.

All third-party trademarks, logos, model names, and brand names belong to their respective owners. Seedly.Video is not affiliated with, endorsed by, sponsored by, or officially connected with ByteDance or Seedance, and model names are used only to identify supported generation workflows.

8. Credits, Subscriptions, and Payments

Seedly.Video may offer free credits, paid subscriptions, annual plans, monthly plans, one-time credit packs, promotional credits, bonus credits, or other usage-based products.

By purchasing or using paid features, you agree that:

• Prices, credit amounts, plan benefits, renewal terms, and usage rules are shown at checkout or on the pricing page and may vary by plan or promotion
• Different models, durations, resolutions, quality settings, audio settings, or generation modes may consume different numbers of credits
• Credits may be consumed when a generation request is submitted, started, processed, completed, or otherwise counted by the Service
• Subscription credits, renewal credits, free credits, promotional credits, and bonus credits may have expiration rules, usage limits, or non-cash value restrictions
• Annual subscription credits are delivered monthly during the subscription period
• Credit packs, bonus credits, and promotional credits are not cash, stored value, or a financial product and cannot be exchanged for money
• Payments are processed by third-party payment providers, and you agree to comply with their applicable payment terms

Unless otherwise stated, subscriptions renew automatically until canceled. You may cancel your subscription according to the cancellation options available in your account, billing portal, or payment provider interface. Cancellation stops future renewals but does not automatically create a refund. Unless a refund is processed or the plan states otherwise, you may continue to use subscription benefits and unused subscription credits until the end of the current paid billing period.

Refund eligibility, failed-generation credit handling, unused-credit rules, bonus-credit rules, and related limitations are described in our Refund Policy.

9. Failed Generations and Service Limitations

AI video generation depends on prompts, uploaded materials, model availability, queue status, content moderation, third-party infrastructure, and system load. Generation may fail, be delayed, be blocked, produce unexpected results, or become temporarily unavailable.

If a generation fails because of a platform-side technical issue and no usable output is produced, we may restore credits, retry the generation, or provide another reasonable remedy at our discretion and in accordance with our Refund Policy.

We are not responsible for failed or unsatisfactory generations caused by prohibited prompts, unsupported materials, user error, third-party restrictions, policy violations, or expectations that exceed the technical capabilities of the Service. Creative dissatisfaction alone does not automatically qualify for a refund.

10. Privacy and Data

Our collection, use, storage, and sharing of personal information are described in our Privacy Policy. By using the Service, you understand that we may process account information, usage data, payment-related information, uploaded materials, prompts, and generated outputs as needed to provide and secure the Service, process payments, prevent abuse, troubleshoot issues, comply with law, and enforce these Terms.

11. Service Availability and Changes

We may update, modify, suspend, limit, replace, or discontinue any part of the Service at any time, including models, features, pricing, credit rules, plan benefits, generation settings, output formats, supported countries, and access requirements.

We do not guarantee uninterrupted availability, error-free operation, permanent storage of generated content, or continued access to any specific model, provider, feature, plan, price, or output format.

You are responsible for downloading and backing up any generated content that you wish to keep.

12. Intellectual Property Rights

Seedly.Video, including its website design, software, interface, branding, logos, text, graphics, workflows, systems, and other materials, is owned by us or our licensors and is protected by intellectual property laws.

These Terms do not grant you any right, title, or interest in Seedly.Video, our software, our branding, or any third-party technology used to provide the Service, except for the limited right to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service except as permitted by law or with our written permission.

13. Termination and Suspension

We may suspend, restrict, or terminate your access to the Service at any time if we believe that:

• You violated these Terms or any applicable policy
• Your account has been involved in fraud, abuse, chargebacks, security risks, or unlawful activity
• Your use creates legal, operational, reputational, or technical risk
• We are required to do so by law, payment providers, infrastructure providers, or third-party model providers

Upon termination or suspension, your access to paid features, credits, generated content, account history, or other Service features may be limited or removed. Termination does not relieve you of payment obligations incurred before termination.

14. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.

We do not warrant that the Service will meet your requirements, that generated outputs will be suitable for your intended use, or that errors or defects will be corrected.

15. Limitation of Liability

To the fullest extent permitted by law, Seedly.Video, its owners, operators, affiliates, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, content claims, or loss of goodwill arising from or related to your use of or inability to use the Service.

To the fullest extent permitted by law, our total liability for any claim arising from or related to the Service or these Terms will not exceed the amount you paid to Seedly.Video for the Service giving rise to the claim during the three months before the event giving rise to liability, or USD $100, whichever is greater.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Seedly.Video, its owners, operators, affiliates, employees, contractors, licensors, service providers, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

• Your use of the Service
• Your User Content or generated outputs
• Your violation of these Terms
• Your violation of any law or third-party right
• Your publication, distribution, commercialization, or other use of generated content

17. Governing Law and Dispute Resolution

These Terms will be governed by and interpreted in accordance with the laws applicable to the operator of Seedly.Video, without regard to conflict-of-law principles.

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, it will be resolved through the courts or dispute resolution process available under applicable law, unless a different process is required by mandatory consumer protection laws.

18. Changes to These Terms

We may update these Terms from time to time for legal, operational, payment, safety, product, or security reasons. The updated version will be posted on this page with a revised date.

Continued use of the Service after updated Terms are posted means that you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
